We understand that LPs increasingly utilize the private equity secondary market to develop relationships with new fund managers or increase exposure to certain funds.  Outside of dedicated buyers in the industry, traditional private equity investors often lack the personnel, resources and expertise to fully evaluate secondary opportunities.  MHT SA guides its clients through every step of the buy-side process in an effort to increase transparency of and properly value the underlying private equity assets.

 

Due Diligence.  We will work with the seller to negotiate and execute the necessary confidentiality agreements and receive access to due diligence materials.  Our professionals will model and value each fund interest based on the fund documents and additional guidance from the client or the GP as well as external market and industry sources.  Based on our findings, we will work with our client to submit the optimal offer for the desired assets within the portfolio.

 

Closing.  We work with the seller and their legal counsel to negotiate terms of the transaction in a definitive agreement.  Our professionals will also manage the transfer agreement negotiations with the seller, fund managers and counsels to finalize the transaction.
